Welcome to Velvet & Vine.

Throughout these Terms of Service, the terms “we,” “us,” and “our” refer to Velvet & Vine.

Velvet & Vine operates this online store and website, including the information, content, features, tools, products, and services available through it, in order to provide our customers with a thoughtfully curated shopping experience. Collectively, these are referred to as the “Services.”

Our store is powered by Shopify, which provides the ecommerce platform that allows us to offer the Services to you.

These Terms of Service, together with any policies referenced or linked within them, describe your rights and responsibilities when you visit, browse, interact with, or make a purchase through Velvet & Vine.

Please read these Terms carefully. They contain important information regarding your legal rights, including warranty disclaimers and limitations of liability.

By accessing or using our Services, including visiting our website or making a purchase, you agree to these Terms of Service and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, please do not use the Services.

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are the age of majority and have given permission for any minor dependents under your supervision to use the Services through devices you own or control.

To browse our store, make a purchase, create an account, or otherwise use certain Services, you may be asked to provide information including your name, email address, billing information, payment information, and shipping address.

You agree that all information you provide is accurate, current, and complete and that you have the right to provide that information.

If you create a customer account, you are responsible for maintaining the confidentiality and security of your login information and for activity occurring through your account.

Velvet & Vine is a curated boutique, and many of the styles we offer are intentionally purchased in limited quantities.

We make every reasonable effort to accurately represent our merchandise through photographs, descriptions, sizing information, colors, measurements, and other product details.

However, actual colors may vary slightly depending on lighting, photography, editing, your screen or device settings, and other factors outside our control.

Sizing may also vary between manufacturers and individual styles. Any measurements, sizing guidance, or fit notes provided on our website are intended as helpful guidance and do not guarantee a particular fit.

Certain products may include intentional characteristics such as distressing, variations in denim wash, texture, pattern placement, embellishments, or other design details. These natural or intentional variations are not necessarily defects.

We do not guarantee that every product will meet every customer’s personal expectations regarding appearance, fit, feel, or styling.

Product descriptions, prices, availability, and other information may be changed at any time without notice.

We reserve the right to discontinue products or limit the quantities available to any person, household, geographic area, or jurisdiction.

Because many Velvet & Vine pieces are offered in limited quantities, we cannot guarantee that sold-out items will be restocked.

Adding an item to your shopping cart does not reserve that merchandise. Merchandise is not secured until checkout and payment are successfully completed.

SECTION 3 - ORDERS

When you place an order through Velvet & Vine, you are offering to purchase the selected merchandise.

We reserve the right to accept, decline, cancel, or limit an order for legitimate business reasons, including but not limited to:

  • Product availability

  • Inventory discrepancies

  • Pricing or listing errors

  • Payment authorization problems

  • Suspected fraud

  • Suspected resale activity

  • Abuse of promotions or policies

  • Shipping limitations

  • Other circumstances that prevent us from reasonably fulfilling the order

An order is not considered accepted until payment has been processed and the order has been confirmed.

Please review your order carefully before submitting it, including your size, color, quantity, billing information, and shipping address.

Because we begin processing orders as quickly as possible, we cannot guarantee that an order can be changed or canceled after it has been submitted.

If we cancel or materially change an order, we will attempt to notify you using the email address, telephone number, billing information, or other contact information provided at checkout.

Purchases are subject to our Return & Refund Policy, which forms part of these Terms.

Unless otherwise agreed by Velvet & Vine in writing, merchandise purchased from our store is intended for personal or household use and not for unauthorized commercial resale or export.

SECTION 4 - PRICES, PAYMENTS AND BILLING

Prices, promotions, discounts, and product availability may change without notice.

The price charged for merchandise will generally be the price displayed when the order is placed and will appear in your order confirmation.

Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping charges, customs duties, import fees, or similar charges.

You are responsible for any applicable taxes, customs duties, import fees, or other charges imposed by your jurisdiction unless otherwise stated.

Velvet & Vine may occasionally offer promotional codes, discounts, sales, or other special offers.

Promotional offers may have separate terms and conditions. If the terms of a promotion conflict with these Terms, the specific promotional terms will control for that promotion.

Unless expressly stated otherwise:

  • Promotional codes cannot be applied retroactively to completed orders.

  • Promotional offers cannot be combined.

  • Discounts have no cash value.

  • Prices are not subject to retroactive adjustment simply because an item is later discounted or placed on sale.

You agree to provide current, complete, and accurate billing, payment, account, and contact information for your purchases.

You represent that:

  1. Payment information you provide is accurate and complete;

  2. You are authorized to use the payment method provided;

  3. Charges incurred through your payment method will be honored; and

  4. You will pay all applicable charges associated with your purchase, including merchandise, shipping, taxes, and other applicable fees.

SECTION 5 - SHIPPING AND DELIVERY

Velvet & Vine works to process and ship orders within the estimated timeframes stated on our website.

All processing and delivery timeframes are estimates and are not guaranteed.

Shipping delays may occur because of carriers, severe weather, holidays, customs, transportation disruptions, incorrect shipping information, or other events outside our reasonable control.

Once an order has been transferred to the shipping carrier, delivery is largely controlled by that carrier.

Customers are responsible for providing a complete and accurate shipping address when placing an order.

If you discover an error in your shipping address, please contact us as quickly as possible. We will make reasonable efforts to correct the address before shipment, but changes cannot be guaranteed once fulfillment has begun.

Velvet & Vine is not responsible for packages delivered to an incorrect address supplied by the customer.

If an order is returned to us because of an incorrect or incomplete address, additional shipping charges may apply before the order can be resent.

If tracking indicates that a package has been delivered but you cannot locate it, you should first check your property, household, neighbors, delivery location, and contact the shipping carrier.

SECTION 6 - PREORDERS AND LIMITED-QUANTITY ITEMS

From time to time, Velvet & Vine may offer merchandise for preorder.

Products identified as Preorder are not ready for immediate shipment.

Estimated shipment or arrival dates provided for preorder merchandise are estimates and may change because of manufacturing, transportation, customs, supplier delays, or other circumstances outside our control.

If an order contains both preorder and in-stock merchandise, the entire order may be held until all merchandise is available unless otherwise stated on the product page or during checkout.

Any additional terms applying to a specific preorder will be disclosed on the applicable product page.

We may also offer highly limited merchandise, seasonal collections, launch exclusives, or small-batch items. Availability is not guaranteed until an order is successfully completed.

SECTION 7 - RETURNS, REFUNDS AND FINAL SALE

Returns and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms.

Customers are responsible for reviewing the Return & Refund Policy before completing a purchase.

Certain merchandise may be designated Final Sale and may not be eligible for return or exchange except where required by law or where merchandise arrives damaged, defective, or incorrect.

Clearance merchandise, gift cards, promotional gifts, and other specifically identified merchandise may also be excluded from returns as described in our Return & Refund Policy.

The Velvet & Vine website and Services, including our branding, names, logos, designs, photographs, graphics, written content, videos, product descriptions, layouts, slogans, original marketing language, and other content created or owned by Velvet & Vine, are protected by applicable intellectual property laws.

This includes, where applicable, Velvet & Vine brand elements and original phrases, campaigns, graphics, and creative materials used throughout our website and marketing.

The Services are provided for your personal, non-commercial use.

Unless we provide written permission, you may not reproduce, copy, modify, distribute, publish, display, sell, license, commercially exploit, or create derivative works from Velvet & Vine content.

Nothing in these Terms grants you ownership of or a license to any Velvet & Vine, Shopify, or third-party intellectual property except as expressly provided.

Velvet & Vine names, logos, product or collection names, designs, and other brand identifiers may constitute trademarks or other protected intellectual property and may not be used without authorization where applicable.

Shopify’s name, logos, products, services, and other identifying marks belong to Shopify.

All other trademarks, product names, logos, and intellectual property appearing through the Services belong to their respective owners.

Velvet & Vine does not control all third-party websites and is not responsible for evaluating or guaranteeing their accuracy, security, availability, content, products, or practices.

We are not responsible for loss or damage associated with purchases, content, services, or interactions occurring through websites or services we do not own or control.

Questions or complaints regarding a third-party product or service should be directed to that provider.

SECTION 11 - RELATIONSHIP WITH SHOPIFY

Velvet & Vine is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Velvet & Vine.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Velvet & Vine, including any injury, damage, or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Velvet & Vine.

Certain information may also be collected or processed by Shopify according to Shopify’s own privacy policies.

Some jurisdictions do not permit the exclusion or limitation of certain warranties, so portions of this section may not apply to you.

Nothing in these Terms is intended to waive or limit consumer rights that cannot legally be waived.

THIS MAY INCLUDE, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, SAVINGS, DATA, BUSINESS OPPORTUNITY, OR REPLACEMENT COSTS, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANOTHER THEORY OF LIABILITY.
